Qriib DevKit Terms of Use
Our goal at Tawteen Tech is to provide our users and customers with communication tools and developer functions throughout the Middle East and North Africa region, in the form of Qriib DevKit, one of our programs and services; to support the next generation of applications developed by our users. These functions will be provided either as bundled services or as standalone features to meet users' needs, and so here we are presenting Qriib DevKit.
By accessing or using (Qriib DevKit) owned by Tawteen Tech, whether through the programs, applications, websites, services, or products that you create or provide (i.e., your application) using Qriib DevKit services or functions, you accept and agree to these Terms of Use (Qriib DevKit Terms of Use) and undertake to comply with any attached documents and/or other policies and/or other terms that apply to your access to or use of Qriib DevKit, as well as the other policies and terms of use on the QRIIB website https://qriib.com/en/home
It should be noted that these Terms of Use constitute a binding supplementary agreement between us, Tawteen Tech, and our affiliates. In these Terms of Use, we shall be referred to as (we, Tawteen Tech, us, or our), and in the event that you accept and agree to these Terms on behalf of an entity or other individuals, you represent and warrant to us that you have full authority to do so. For confirmation, all references to the pronoun "you" or "your" that appear in these Terms refer to such entity or such individuals on whose behalf you are accepting and complying with the following Terms.
Overview
1.1 Overview
(Qriib DevKit), owned by Tawteen Tech, includes:

Any form of Qriib DevKit services that we make available, which provide access to Qriib services, applications, or programs, including all tools, elements, components, and the associated application.

Programmable Software Development Kits (SDKs) for audio and video functions.
-
Any Sample Code that enables integration with QRIIB services or programs.
-
Related to the above-mentioned services (Documentation). The documentation related to the foregoing.
All of the above-mentioned services are collectively referred to as the Services.
1.2 Applicable Agreements, Terms, and Policies
By agreeing to the Qriib DevKit Terms of Use, you agree to the terms and conditions for using QRIIB services, programs, and applications https://qriib.com/en/legal/terms, our Privacy Policy https://qriib.com/en/legal/privacy, and these terms or policies collectively govern your use of or access to the Qriib DevKit website or services. By accessing or using our Qriib DevKit services or functions, you accept and agree to these terms, policies, or agreements collectively, and warrant to us, whether on your own behalf or on behalf of another, whether an entity or an individual, compliance with and adherence to them.
It should be noted that in the event of a conflict between these Terms and the general terms and conditions https://qriib.com/en/legal/terms-of-service, as applicable, these Terms shall prevail and govern your access to or use of the various Qriib DevKit services owned by Tawteen Tech.
1.3 Amendment of the Terms
We have the right, at our sole discretion, to delete, add, or update (collectively, amend) these Terms at any time, and we will update the update date above. Therefore, your continued access to or use of Qriib DevKit after any addition, deletion, or update (collectively, amendment) of any of these Terms shall be deemed your acceptance of any amendments made to these Terms.
Use of Qriib DevKit Services
2.1 License and Use
Under these Terms, we grant you a limited, non-exclusive, non-assignable, non-transferable, and revocable license to develop, test, and support your application, and to allow customers of QRIIB services or programs to use the integration of Qriib DevKit services within your application, so long as you comply with the Terms of Use set out herein, as well as our policies.
These Terms, or the availability of any information, data, or other content in Qriib DevKit services, should not be interpreted as granting you a license to any copyrighted materials owned by Tawteen Tech and its affiliates, or to any trademark, service mark, logo, trade name, or any slogan owned by Tawteen Tech.
Furthermore, by agreeing to these Terms, you agree and undertake not to use Qriib DevKit to do any of the following:

Create, design, develop, improve, produce, sell, license, promote, market, or distribute any materials, programs, or content intended for any use other than the use permitted by us.

Reproduce or re-implement the features or functions of QRIIB services or programs.

Create or distribute any derivative work, as defined under Egyptian Intellectual Property Law, from Tawteen Tech's application programming interfaces except as expressly permitted and provided herein. No other licenses are granted to you by Tawteen Tech under these Terms.
2.2 Use Restrictions
We reserve the right to limit or suspend your use of or access to the owned Qriib DevKit at our discretion and without prior notice or any liability to you. It should be noted that the restrictions may include technical restrictions such as:
limits on meetings or size and/or the rate of holding or repeating meetings, or restrictions on your access to some or all Qriib DevKit services. These technical restrictions are applied if you misuse any of the Qriib DevKit services or functions, or if you exceed the permitted limit for using Qriib DevKit. By agreeing to these Terms, you accept these restrictions and will not attempt to circumvent them, and if you engage in any manipulation or misuse of Qriib DevKit services, you accept the action taken by us in this regard.
2.3 Your Responsibilities

Responsibility for your application: You acknowledge and agree that you are solely responsible for the content of your application, as well as its development, operation, support, and maintenance, and all activities related to your use of Qriib DevKit. You also represent and warrant that your access to or use of Qriib DevKit, and your application, will not violate, misuse, or use in a manner that violates the patent rights, copyrights, trademarks, trade secrets, moral rights, or any other intellectual property rights or copyrights or privacy rights of any third party, or lead to a breach of applicable laws or regulations in force.

Responsibility for data and customer content: You agree that it is your responsibility to determine the data and customer content that should be sent to Qriib DevKit services. Unless expressly requested otherwise, any customer content will be retained in accordance with the data retention policies and confidentiality obligations set forth in our terms and conditions https://qriib.com/en/legal/terms-of-service. You acknowledge that we are not obligated to back up any data and that we may not always be able to restore such data if it is deleted based on your request. You also acknowledge and agree that we and those acting on our behalf have the right to remove any customer content that violates these Terms. You acknowledge that you are aware that we do not verify customer content, and you agree that you must evaluate and assume all risks associated with your use of customer content.

Authorized users and account management: You may appoint authorized user(s) and expressly authorize them as your agent to manage your account. Account management may include, by way of example and not limitation: configuring management settings, assigning access and use permissions, requesting different or additional services, providing usage and performance records, managing templates, assisting in integrations of third-party products, and receiving notifications.
2.4 Registration and Accounts
To access and use Qriib DevKit services:

You must register and maintain an account with us on QRIIB https://qriib.com/en/home

You may also be required to provide us with certain data and contact information, such as the name, email address, and phone number, whether yours or your company's.

Complete any required authentication steps during the registration process, as we may determine.
It should be noted that by agreeing to these Terms, you agree that we may use your name and logo on our website and other marketing materials only to identify you as a customer.
2.5 Publishable Link for Internal Use (URL)
You may request a Uniform Resource Locator "URL" that allows you and your employees or agents who access Qriib services under your account to install and use your application ("Publishable Link"). A Publishable Link may be provided to you at our discretion. If a Publishable Link is provided to you by Qriib, you must not:

Use this Publishable Link to distribute your application to any third parties; or
-
Make the Publishable Link available anywhere that can be accessed by third parties. This Publishable Link is for use only by you to conduct private and limited beta tests of your application. We may cancel or limit the Publishable Link at any time, without notice, at our discretion.
2.6 Modifications and Updates
We regularly update and add features and functions to Qriib DevKit owned by us, Tawteen Tech, and we also have the right to remove or modify features. We also generally explain how to use the new or modified features in the accompanying documentation https://qriib.me/docs/en/quickstart regarding Qriib DevKit services.
By agreeing to these Terms, you agree that we may modify or change part of Qriib DevKit owned by us at any time, at our sole discretion, in a manner consistent with the level of our services. We undertake to notify you in the event of any material procedures. You are responsible for following up on and keeping pace with any updates to, and you must promptly and without undue delay develop, update, or modify your application at your own expense to ensure its compatibility and operation with the current version of Qriib DevKit.
Furthermore, by agreeing to these Terms, you acknowledge that you are aware that failure to make your modifications or updates to keep pace with these changes or modifications may result in your application failing to function or operate as designed, and may also result in the suspension of your access to or use of Qriib DevKit.
2.7 Prohibited Uses
By agreeing to these Terms, you undertake, whether on your own behalf or on behalf of any third parties on your part, not to use any of the Qriib DevKit services, or any information, data, or content accessed or obtained through or by means of your use of or access to Qriib DevKit, or your application:
2.7.1 For any purpose other than what is set forth and permitted in these Terms or the agreement, as well as any related policies.
2.7.2 In a manner that is pornographic, crude, offensive, or suggests any obscenity, or promotes illegal or harmful activities or materials.
2.7.3
In a manner likely to allow others to abuse Tawteen Tech and its affiliates and sister companies, or those in charge of it, or its employees, or its users.
2.7.4 In a manner that is deceptive, fraudulent, false, or misleading.
2.7.5 In a manner that violates applicable laws or regulations, including

Illegal activities, such as child pornography, gambling, piracy, or infringement of copyrights, trademarks, or other intellectual property laws.

The intent to exploit minors in any way.
-
Violation of applicable laws and/or regulations relating to privacy, information security, or data protection, including laws governing the recording or interception of audio, video, or other communications, collectively "Privacy Laws".
2.7.6
In any environment or context requiring fail-free performance, such as emergency medical care or hazardous activities, or where the failure of your application, or access to or use of Qriib DevKit, or Qriib services, programs, or applications, could lead to death, personal injury, or material or environmental damage.
2.7.7
To monitor the availability, performance, or functionality of Qriib services or programs, or for any similar performance testing, comparison, or competitive purposes.
2.7.8
In a manner that may limit, harm, or cause damage to us, Tawteen Tech, and/or our affiliates and sister companies, and/or Qriib DevKit owned by us, and/or any of our services, programs, or applications, including any person's use of any Qriib DevKit services or functions or any Qriib services or programs.
2.7.9
To disrupt, interfere with, or attempt to gain unauthorized access to the services, servers, devices, or networks that connect to or can be accessed through Qriib DevKit.

To collect or build databases, or create copies of any data accessed or obtained using Qriib DevKit by your application.
-
To request from Qriib DevKit data exceeding the generally recognized minimum limit, or more than the minimum permissions for the types of data that your application needs for end users to use the intended or relevant function of your application.

To use or collect content and data collected from Qriib DevKit or used or collected by your application, i.e., "Application Data", including information about end users or others with whom they interact through Qriib services or programs, i.e., "Personal Information", without authorization or permission from the end user.

To exceed rate limits, bandwidth, in using Qriib DevKit, as well as or negatively affect any Qriib DevKit services or functions, or Qriib services and/or programs, or the behavior of other applications that use Qriib DevKit.

To identify, exploit, or publicly disclose any potential security vulnerabilities.
-
To request, use, or make available any data obtained using Qriib DevKit in excess of or beyond any permissions expressly granted by end users in relation to the use of your application.
-
To reverse engineer, decompile, disassemble, or infer the source code, underlying ideas, algorithms, organizational structure, or organizational form of Qriib DevKit exclusively owned by Tawteen Tech, or Qriib services, programs, or applications.

To introduce any viruses, defects, Trojan horses, malicious software, or any elements of a destructive nature.
-
To rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or make available any Qriib DevKit services or functions to any third party, except as integrated within your application.

To make your application available for use in a manner that circumvents the need for end users to obtain a valid subscription or license for Qriib services or programs.
-
To use or transfer any data accessed or obtained using Qriib DevKit, including any aggregated, anonymized, or any data derived from such data, for advertising or marketing purposes, including targeting or serving advertisements.

To forge or modify any unique referral identifier, or one designated for an application, or to conceal or modify the source of inquiries coming from an application to conceal a violation of the Terms.

In a manner that may constitute or lead to, at our discretion, a risk to the privacy or information security of end users or others.

In a manner that removes, hides, obscures, or changes any links that lead to these Terms or the Qriib Privacy Policy https://qriib.com/en/legal/privacy-policy, or Qriib Terms and Conditions https://qriib.com/en/legal/terms-of-service, or access to and use of all of our services, or other Qriib policies in any content accessed or obtained using Qriib DevKit.

To take any action that may impose an unreasonable and/or disproportionately large burden on the infrastructure and platform of our customers and/or third-party providers.

To operate any form of automatic reply and/or "spam" on Qriib DevKit services.
Privacy and Security
3.1 Keys (Tokens)
By agreeing to these Terms, you must:

Not share the keys or credentials obtained for using Qriib DevKit.
-
Keep these keys and all login information secure and confidential.
-
Use them as the sole means of accessing Qriib DevKit services or functions.
3.2 Security Requirements
You acknowledge and warrant to us that your application does not contain any security vulnerabilities, and that it has been developed to operate smoothly and in harmony with Qriib DevKit in a secure manner. Your network, operating system, server software, databases, and computer systems must be properly configured and prepared to operate your application securely and to collect, use, and store Application Data securely. You undertake to use technical, administrative, and physical safeguards with respect to your application, including:

Compliance with applicable laws and regulations, including Privacy Laws;
-
Adhering to or exceeding applicable industry standards or self-regulatory requirements;
-
Protecting the confidentiality, integrity, and availability of Application Data, including Personal Information;
-
Preventing Security Incidents.
3.3 Security Incidents
For the purposes of this section, "Security Incident" means accidental, unlawful, or unauthorized access to, use, disclosure, alteration, loss, or destruction of:

Qriib DevKit owned by us;
-
Application Data or Personal Information;
-
Your application, if this will negatively affect our services;
-
Your information technology systems and infrastructure, or those of the service providers on whom the application depends;
-
Qriib services, programs, applications, or systems.
By agreeing to these Terms of Use, you undertake that, in the event that you become aware of or suspect the existence of a Security Incident, you will notify us of this incident immediately and, in all cases, within 24 hours from the time you become aware of it. You also agree to preserve evidence related to the Security Incident, and to provide the information, evidence, or data that we may request from you regarding the Security Incident, including an explanation of the nature and cause of the Security Incident, the categories and approximate number of affected individuals and/or institutions, the categories and approximate quantity of affected records, as well as the potential consequences of the Security Incident, and the corrective actions taken with respect to this Security Incident.
Furthermore, by agreeing to these Terms of Use, you agree to take the necessary actions that we may request from you to address the incident, as well as to respond when needed to the investigation, and also to mitigate the negative effects of any Security Incident.
You also undertake that, before communicating with the public, for example: through a press release, blogs, social media, bulletin boards, and other means and channels of communication with the public, or any third party that is not considered your agent or representative, regarding any incident classified as a security incident, you will consult with us regarding such communication and also provide us with a prior copy of such communication, provided that this is permitted under the applicable laws and regulations in force, and provided that such communication does not directly affect your investigation into the Security Incident matter, your remediation of the Security Incident, or your compliance with your legal obligations to provide the necessary notices regarding the Security Incident.
3.4 Security Review, Monitoring, and Remediation
You undertake that you will notify us, with an explanation, immediately through our email support@qriib.com, of any security vulnerabilities related to the connection of your application to Qriib DevKit services or functions as soon as you become aware of such vulnerabilities.
We also have the right, in the event of the existence or discovery of a source of threat to our services, and/or any independent third party that we choose and that works under our direction and supervision, to carry out monitoring or a security review of your application to ensure that your application complies with the Qriib DevKit Terms of Use, as well as the Privacy Policy https://qriib.com/en/legal/privacy-policy, as well as our Terms and Conditions https://qriib.com/en/legal/terms-of-service, and also that it does not threaten the security, integrity, availability, or performance of our services, programs, websites, or applications.
We will provide you with prior notice of our security review. You will also provide us, at no cost, with full user-level access to your application, and you will cooperate with us and provide the information that we may need to complete the security review. You acknowledge and warrant to us that all information you provide to us in relation to your application is true and accurate.
Except as required under applicable laws, we will keep the results of the security review confidential.
We may require you, at our discretion, and in light of your use of Qriib DevKit, to make modifications or improvements to the security standards or processes of your application as a condition for using or continuing to use Qriib DevKit.
It should be noted that our conduct of the security review, or our decision not to respond to a notice from you of a Security Incident or security vulnerability, must not be interpreted as approval, warranty, or certification of your application or security safeguards, nor should it limit your responsibility for breach of, or exempt you from compliance with, any clause or paragraph of these Terms.
We note that you must treat the occurrence and results, as well as any communications related to the security review, as confidential information, and you may not use this information in any marketing or publicity for your application.
3.5 Privacy Requirements
To the extent that you may collect, access, or process Personal Information in connection with Qriib DevKit owned by us, then by accepting and agreeing to these Terms, you undertake to:

Comply with Privacy Laws, including, as applicable, your obligations thereunder to notify governmental authorities, affected individuals, and other third parties of breaches of security and personal data, as well as comply with individuals' requests to exercise their rights under Privacy Laws, for example: access to, correction, deletion, making their data portable, objecting to or restricting processing, or opting out of sharing their Personal Information.

Ensure and also guarantee, and you are solely responsible for this guarantee, obtaining all consents, and providing all notices, including privacy notices, to all end users and others as required and stipulated by Privacy Laws for operating your application, and for your collection, use, sharing, retention, or other processing of Personal Information.

Ensure that these notices and consents do not exceed, modify, or conflict with these Terms and/or any other terms and policies that we stipulate.

Use Personal Information only within the limits of the following:

In accordance with those notices and consents and in accordance with the Terms of Use of your application;

For the purpose of providing and improving the functions and end-user experience of your application, or for the purposes expressly authorized by the end users to whom the Personal Information relates;

In accordance with Privacy Laws, these Terms, and the Terms of Use of your application;
-
To the extent that you process Personal Information as a processor on behalf of a customer shared between you and us ("Shared Customer"), in accordance with the instructions and restrictions set out in your agreement with the Shared Customer;
3.6 Other Privacy Terms
By agreeing to these Terms, you agree to release us from liability, in full, with respect to Application Data collected, used, shared, retained, or processed by you or through your application, and that your activities with respect to Application Data are not, in any way whatsoever, on our behalf.
Intellectual Property
4.1 Intellectual Property of Tawteen Tech (Qriib DevKit Services)
By agreeing to these Terms, you acknowledge and agree that Qriib DevKit is exclusively and solely owned by us, Tawteen Tech, as well as any materials, content, or services that we provide through it. You also agree to comply with all applicable copyrights and other laws and intellectual property treaties, in addition to any additional copyright notices or restrictions contained on our official website and Qriib DevKit services. You acknowledge that the official Qriib website https://qriib.com/en/home, as well as Qriib DevKit services, contain original works developed, compiled, prepared, reviewed, and selected by us, and that all current and future rights in trade secrets, patents, designs, copyrights, trademarks, database rights, and other intellectual property rights or other proprietary rights of any kind, or documents, or any improvements or contributions to the design or derivative works thereof, all of this is our exclusive and sole property and is not subject to any dealing with it or upon it in any form of dealing whatsoever. You also acknowledge that your right to use the services, applications, and solutions of the Qriib website, including Qriib DevKit and its services, is limited to a non-exclusive license for use only. Regardless of the use of terms such as "purchase" or "sale" contained in these Terms or the agreement, ownership rights are not transferred to you. In addition, we confirm that, pursuant to the limited licenses granted in these Terms or the agreement, you do not have any rights in any of our intellectual property.
4.2 Your Intellectual Property
Pursuant to the limited licenses granted in these Terms, we do not have or own any ownership or other rights with respect to and over your application, your intellectual property, or your other technology.
4.3 Comments (Feedback and Interactions)
By submitting ideas, suggestions, or proposals ("Comments") to us, you acknowledge and agree that:

Your Comments do not contain confidential or proprietary information;

Tawteen Tech and its affiliates and sister companies are not obligated to confidentiality, expressly or implicitly, with respect to the Comments;
-
Tawteen Tech and its affiliates and sister companies may already be in the process of developing a solution or solution component related to the Comments and interactions;
-
You grant us a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable, and perpetual license to use, employ, and publish the Comments (feedback) for any purpose, without compensation to you.
4.4 Development of Qriib Products, Applications, and Platform
By agreeing to these Terms, you accept that we will not be prevented from creating, developing, acquiring, publishing, licensing, protecting, marketing, and distributing, for our benefit or for the benefit of third parties, materials, applications, products, or services that compete with your application or other products or services that you provide, regardless of their similarity to your application or products or services, or the products or services that you may develop in the future.
4.5 No Official Relationship Between Us and You
You may not imply or indicate the existence of an official relationship, such as a partnership, with us, Tawteen Tech, including any implication that Tawteen Tech sponsors, endorses, or guarantees your applications, or that you are our partner. You may not use any Qriib logo, without prior approval from us, to imply such a relationship without a written license to do so, and you may not make any representations, warranties, or commitments regarding Qriib DevKit services or functions owned by us, or on their behalf, except with our prior approval.
Third-Party Use
Except as expressly provided in this section, the application may be used only for internal business purposes, and you agree not to share, sell, transfer, rent, lease, lend, resell, or grant access to Qriib DevKit owned by Tawteen Tech to any third party.
For the purposes of this section, a "third party" is any person who is not:

Your employee or agent;
-
And contractually bound by the use restrictions and confidentiality set out in these Terms.
Payment Terms
6.1
By accepting and agreeing to these Terms, you agree to pay the required fees in advance on a pay-as-you-go basis, and you may recharge your points or balances through your dashboard.
6.2
At the end of each month, an invoice is generated that includes a detailed summary of your use throughout your subscription period. In addition, the details of consumption of your plan will be available on your dashboard in your account.
6.3
We do not guarantee the availability of a particular subscription plan indefinitely. We also reserve the right to modify the prices, features, functions, usage limits, and options within any particular subscription plan, with an electronic notice sent to you via your email registered with us.
6.4
When purchasing a subscription plan, you must provide accurate and complete payment method details that you are authorized to use. You must also notify us immediately of any changes to your billing address and update your account with any modifications to your payment method.
6.5
You acknowledge that we are not responsible for verifying your payment method details, as you provide these details directly to various third-party payment gateways or platforms. Therefore, you agree to review and comply with the policies of these third parties, whose services are integrated with our services. We do not store any payment-related data, including credit card details or any other payment information.
You agree to notify us of any billing discrepancies or issues within thirty (30) days from their first appearance on your invoice. If you fail to notify us within this period, you waive your right to object to these discrepancies.
Confidentiality
7.1 Confidential Information
From time to time, you may be able to access confidential or proprietary information of Tawteen Tech and its affiliates and sister companies. Confidential Information includes all tangible or intangible information classified as "confidential" or any similar designation. It also includes any information that a reasonable person may consider confidential because of its nature or the circumstances in which it was disclosed.
By agreeing to these Terms, you acknowledge the following:

That Qriib DevKit services and functions, in addition to any non-public communications from Qriib relating to these services, are considered Confidential Information.

That you may not use the Confidential Information except to the extent necessary to exercise the rights and limited licenses granted under these Terms.

That you agree to protect the Confidential Information from unauthorized use, access, or disclosure.
-
That you will not disclose any Confidential Information to third parties without our prior express written consent.
7.2 Disclosure Required by Law
You may not disclose the Confidential Information unless you are legally required to do so. However, before making any disclosure, and if legally permitted, you agree to:

Notify us immediately in writing.

Cooperate with us, at our expense, in seeking to obtain a protective order or any other legal means to prevent or limit the disclosure of the Confidential Information.

Not disclose any Confidential Information until we, at our absolute discretion, do the following: waive compliance with this Section 7 with respect to that specific information, obtain or choose not to pursue a protective order. If you must disclose Confidential Information after complying with this Section 7, you must disclose only the minimum amount legally required and notify us of what has been disclosed.
7.3
By agreeing to these Terms, you acknowledge and accept that any violation or breach of this Section (7) constitutes serious harm, for which we have the right, in order to remedy it, to obtain all compensations, at our sole discretion. We also have the right, if the matter requires according to our discretion, to seek to obtain a court order in order to obtain compensatory remedies for the breach of any paragraph of this Section (7).
Termination
8.1 Termination by Us or by You
We may, at our absolute discretion, suspend or terminate these Terms, including any rights granted or your license to access or use Qriib DevKit, as well as the Qriib trademarks, without prior notice or liability, if you violate any of these Qriib DevKit Terms of Use and/or Qriib Terms and Conditions and/or the Privacy Policy.
8.2 Your Right to Terminate
Unless otherwise agreed, you may terminate these Terms at any time by ceasing to access and use Qriib DevKit services and to use them. Upon termination, all licenses granted to you shall immediately terminate, and you must stop using Qriib DevKit. If you violate this Section (8), you shall be subject to these Terms and shall comply with them.
The termination of your dealings with Qriib DevKit services shall also result in your obligation to delete any documents, passwords, codes (keys), and any information belonging to us that we have classified as confidential, and any information that we provided to you in order for you to enjoy Qriib DevKit services.
Scope of Our Warranties
We provide industry-standard service level warranties, quality warranties, and technical security measures designed to prevent unauthorized access to your data. However, by agreeing to these Terms, you acknowledge the following: that your access to and use of Qriib DevKit is at your own responsibility. Qriib DevKit is also provided "as is" and "as available".
Furthermore, by agreeing to these Terms, Qriib does not warrant that Qriib DevKit services or application programming interfaces will always operate without interruption or without errors. For example, Qriib DevKit operations may be disrupted due to maintenance, updates, system failure, network outage, or one of the causes of force majeure. By agreeing to these Terms, you agree to release us from liability for any damages resulting from such interruptions or operational errors.
Limitation of Liability
10.1 Limits of Our Liability
By agreeing to these Terms, you acknowledge and agree that Tawteen Tech and its affiliates and sister companies, and its officers, directors, employees, agents, subcontractors, distributors, and suppliers shall not, under any circumstances, be liable for: indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, sales, business opportunities, or data, or loss, alteration, interception, or storage of data through third-party networks that Qriib does not own, operate, or control, or business interruption or other losses arising from your use of Qriib DevKit or your application, even if we have been informed of or could have anticipated such damages.
10.2 Scope of Aggregate Liability
Notwithstanding any provisions or terms contrary to these Qriib DevKit Terms of Use, the maximum aggregate liability of Qriib towards you, the end users, or any third party arising out of or relating to your use of or access to Qriib DevKit or your application shall be determined by the Dispute Settlement Committee referred to in Section 12 of these Terms. However, in all cases, our total liability shall not exceed the fees that you have actually paid for Qriib DevKit services. In addition, you must bring any claims arising out of or relating to these Qriib DevKit Terms of Use or your application within one year from the event that caused the claim, and failure to do so shall result in the waiver of your right to pursue such claims.
Indemnification
By agreeing to these Terms, you agree to indemnify, defend, and hold harmless Tawteen Tech and its affiliates and sister companies, and its officers, directors, employees, consultants, agents, suppliers, and distributors from and against any and all claims, proceedings, liabilities, damages, and/or costs, including but not limited to attorneys' fees, arising out of or relating to: Your application, or your use of Qriib DevKit services, or your breach of these Terms or any of Qriib's policies.
Dispute Settlement Committee and Applicable Law
12.1 Dispute Settlement Committee

By agreeing to these Terms, you agree to settle and resolve any dispute that may arise between you and us through a committee specifically prepared by our specialists to settle and resolve any dispute that may arise regarding these Terms or regarding the implementation of any provision thereof. This results in your express waiver of the right to file or participate in any type of lawsuits before resorting to the Dispute Settlement Committee, except as will be mentioned in the following paragraph below.

Disputes covered by the Dispute Settlement Committee: You agree that any dispute between you and us in relation to these Terms, including: software integration, marketing or advertising communications, account-related disputes, as well as any disputes related to your account or any aspects of your relationship or transactions with us, will be resolved by our Dispute Settlement Committee, and not through resorting to the court. This committee also includes allegations, disputes, and claims that arose or may arise or involve facts occurring before the existence of these Terms and working in accordance with them or any versions or negotiations (forms) prior thereto, in addition to claims, allegations, and disputes that may arise after the termination of working with these Terms. It should be noted that by accepting these Terms, you acknowledge that this affects your ability to participate in any current or future legal proceedings related to disputes with us or with our affiliates or sister companies.

Disputes excluded from the Dispute Settlement Committee: The following disputes are not subject to settlement by the Dispute Settlement Committee, whether initiated by you or by us: claims and/or lawsuits related to intellectual property rights, including but not limited to: trademarks, trade dress, industrial designs, domain names, trade secrets, copyrights, and patents.

Procedures for referring the dispute to the committee (resorting to the Dispute Settlement Committee): Before starting the dispute settlement process, you must first contact our customer support team at support@qriib.com and attempt to resolve your issue through customer support. If your issue is not resolved within 30 business days, or if the situation escalates into a dispute, you may refer the matter to the Dispute Settlement Committee. You are permitted to resort to the Dispute Settlement Committee if you have made a genuine effort to resolve your issue through customer support and have faced an unsatisfactory solution or your issue has not been resolved.
It is also required, for you to escalate the matter to the Dispute Settlement Committee, that you provide any evidence or electronic document, for example: emails, live chat transcripts, support request records. These documents must prove your effort in requesting assistance or, alternatively, prove the failure of customer support to assist you.
To report any allegation you have, so long as it is based on a genuine basis, or the possibility of a dispute arising with us regarding these Terms, including any programs, integrations, or advertising or marketing communications, as well as any allegation or dispute related to your account or to any aspects of your relationship or transactions with us, contact us at support@qriib.com This committee undertakes to decide on the allegation or dispute submitted to it within an acceptable period from the day we are notified or from the date you submit your allegation or dispute to us for decision.
12.2 Applicable Law
The laws to which this agreement or Terms are subject, and the jurisdiction, interpretation of matters and provisions and their enforcement, as well as claims arising from any of our policies or these Terms, and the agreement on jurisdiction, all of this is regulated and applied in accordance with the applicable Egyptian laws, regardless of conflict of laws principles, international trade laws, laws regulating data and communications protection, intellectual property protection, and any laws related thereto.
General Provisions
13.1 Assignment
By agreeing to these Terms, you undertake not to assign these Terms and what results from their implementation, whether by operation of law, change of control and effective control, merger, sale of assets, or otherwise, without prior written consent from us.
On the other hand, by agreeing to these Terms, you are aware of our right to assign or transfer these Terms, at our discretionary authority and without restrictions.
13.2 Entire Agreement and Severability
These Terms and any documents that may be referred to or incorporated into these Terms by reference constitute the entire agreement between you and us regarding Qriib DevKit, at our discretion, and supersede all prior agreements and understandings, whether written or oral, in relation to the subject matter of these Terms. Also, if any clause or condition of these Terms is found to be unlawful, invalid, or unenforceable, the unenforceable clause will be modified to make it enforceable to the maximum extent possible, and if that is not possible, this shall not affect at all the validity and enforceability of the remaining clauses and conditions, and such invalid or defective clauses or conditions shall be severed, and the remaining clauses and conditions shall remain valid, effective, and in force.
13.3 No Waiver
It should be noted that if we do not exercise any of our rights or any clause or condition stipulated in these Terms, this does not mean, even implicitly, our waiver of this right, clause, or condition, whether at the present time or in the future. In order for any waiver to be effective against us, such waiver must be in writing and signed by our legal representative who is duly authorized to do so.
13.4 Survival
Certain Terms and sections of this document (Terms of Use) shall remain in effect after termination or expiration, including the clauses and conditions relating to Confidential Information, our proprietary rights, Tawteen Tech's rights, and the licensing rights granted by you to us, as well as obligations relating to payment and fees, disclaimer of warranty, indemnification, and limitation of liability.
13.5 Independence of the Parties
Nothing in these Terms shall be deemed to create an employment relationship, partnership, association, joint venture, agency, or fiduciary relationship between you and us, nor shall either party have the authority to bind the other party or assume obligations on behalf of the other party.
13.6 No Third-Party Beneficiaries
There are no third-party beneficiaries of these Terms, unless this is expressly agreed between you and us.
